1. Acceptance of Terms

By accessing or using this Service, the User agrees to be bound by these Terms. If the User disagrees with any part of these Terms, the User may not access or use the Service.

Private Users: Users must be at least 18 years old or have parental consent to access and use the Service. By accessing and using the Service, the User represents and warrants that these requirements are met.

Corporate Users: If a User accepts these Terms on behalf of a company or other legal entity, the User represents and warrants that the User has the authority to bind such company or other entity to these Terms.

2. Definitions

For purposes of these Terms:

  • "Service Provider" means Zendact AB.
  • "Service" means the services available on the Zendact Foresight website.
  • "Partners and Sub-contractors" means third-party service providers that the Service Provider may engage to provide components of the Service, including but not limited to payment processors, hosting providers, third-party LLM providers, analytics services, and customer support tools.
  • "User" means the individual or entity that has entered into these Terms with the Service Provider and"Users" means the User and Authorized Users collectively.
  • "Authorized Users" means additional users that the primary User is permitted to grant access to the Service within the limits specified in the applicable Use Restrictions.
  • "User Licenses" means the different subscription license options available for the Service as detailed on the Zendact Foresight website.
  • "Use Restrictions" means the specific limitations, and permitted uses associated with each User License as detailed on the Zendact Foresight website, as well as any additional use restrictions set forth in these Terms.
  • "Terms" means these User Terms and Conditions.

3. User Licenses

3.1 User License

Subject to the Users' compliance with these Terms and the Use Restrictions, the Service Provider grants the User a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service in accordance with the Terms hereof during the selected subscription term.

3.2 Use Restrictions

The User is entitled to use the Service within the Use Restrictions for the relevant User License. The Use Restrictions form an integral part of these Terms and are incorporated herein by reference.

3.3 Authorized Users

The User is entitled to allow a limited number of Authorized Users to access and use the Service within the limits specified in the Use Restrictions for the applicable User License. The User must ensure that the Authorized Users comply with these Terms and the Use Restrictions and the User takes full responsibility for all Authorized Users' use of the Service. Any violation of these Terms or Use Restrictions by an Authorized User will be deemed a violation by the User.

4. Support

4.1 Support requests

The Service Provider makes reasonable efforts to respond to user queries and to provide technical support as further detailed on the support page.

5. Service Use and Restrictions

5.1 Acceptable Use

The User agrees to use the Service only for lawful purposes and in accordance with these Terms and the applicable Use Restrictions. The User may not use the Service: (a) in any way that violates applicable laws or regulations; (b) to transmit harmful, offensive, or illegal content; (c) to infringe upon intellectual property rights; (d) to attempt unauthorized access to the Service Provider's systems; or (e) to interfere with other users' use of the Service.

In no event may any Users use the Service for high-stakes automated decisions, regulated advice, or safety-critical applications without appropriate human oversight and professional validation.

5.2 Account Responsibilities

The User is responsible for maintaining the confidentiality of its account credentials and for all activities under the User Account. The User must notify the Service Provider immediately of any unauthorized use.

5.3 Data Restrictions

The Service is not designed for usage of personal data, trade secrets or confidential information. Users may provide general business data that is necessary for the usage of the Service, but may in no event include personal data, confidential information, or trade secrets.

5.4 Automatic Upgrades for Overuse

If the User exceeds the Use Restrictions, the Service Provider will notify the User and provide options to either: (a) upgrade to the next appropriate User License level; (b) reduce usage to comply with current limits; or (c) accept reasonable additional fees for overage. If the User does not respond within 7 days, the Service Provider may automatically implement option (a) or (c).

6. Intellectual Property

6.1 Service Provider Rights

The Service and its original content, features, and functionality are owned by the Service Provider, and/or its Partners and Sub-Contractors, and are protected by international copyright, trademark, and other intellectual property laws.

6.2 User Content

The User retains ownership of all data that is submitted or uploaded to the Service by the User. By submitting such data, the User grants the Service Provider a worldwide, non-exclusive, royalty-free license to use, reproduce, and display such content in connection with the provision of the Service to the Users.

6.3 Feedback

Any feedback, suggestions, or ideas the Users provide may be used by the Service Provider for any purpose without any obligation to compensate any Users.

7. Disclaimers

7.1 No Professional Advice

The Service provides AI-generated content and output for strategic thinking and business planning purposes, but does not constitute professional management consulting, legal, financial, medical, or other expert advice. Users must exercise independent judgment and human oversight for all decisions based on Service content and output.

7.2 No Responsibility for AI-generated Output

Any and all AI-generated content and output provided through the Service may contain errors, inaccuracies, or omissions. The Service Provider makes no representations or warranties regarding the accuracy, completeness, or reliability of any Service content or output.

7.3 Third-Party Large Language Models

The Service utilizes third-party large language model (LLM) providers and AI technology to process and generate content. The Service Provider is not responsible for the performance, availability, or output of these third-party services. While some of these providers represent that they do not use your data for model training, the Service Provider cannot guarantee or control their data practices.

The Service uses AI technology that: (a) may contain biases from training data; (b) cannot guarantee prediction accuracy; (c) requires human judgment for all decisions; and (d) may change performance due to model updates. Users acknowledge that AI-generated foresight is probabilistic in nature and should not be relied upon as definitive predictions of future events.

7.4 User Responsibility

THE USER – NOT THE SERVICE PROVIDER OR ITS PARTNERS AND SUB-CONTRACTORS – ARE SOLELY RESPONSIBLE FOR THE USERS' USE OF AND ANY ACTIONS THE USERS TAKE BASED ON THE CONTENT AND OUTPUT OF THE SERVICE. The Users must independently verify all information and exercise their own judgment when analysing and using content and output from the Service.

8. Limitation of Liability

8.1 No warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

8.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE PROVIDER SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

The Service Provider's total liability for any claims under these Terms shall not exceed the amount paid by the User to the Service Provider in the 12 month period prior to the claim.

8.3 Force Majeure

The Service Provider shall not be liable for any failure or delay in performance due to circumstances beyond the Service Provider's reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargos, acts of civil or military authorities, cyber attacks or AI model failures.

9. Indemnification

The User agree to indemnify, defend, and hold harmless the Service Provider, including its Partners' and Sub-Contractors, and their respective officers, directors, employees, and agents from and against any third party claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with: (a) Users' access to or use of the Service; (b) Users' violation of these Terms or Use Restrictions; (c) Users' violation of any third-party rights; and (d) data that the Users' submit to the Service.

10. Data Protection

10.1 Data Controller

The Service Provider acts as data controller for personal data processed in connection with account management, Service provision, and support matters.

10.2 Privacy Policy

Detailed information about how we collect, use, store, and protect Users' personal data, as well as your data protection rights, is provided in our Privacy Policy available at our website. The Privacy Policy forms an integral part of these Terms.

10.3 Authorized Users and Data Sharing

By adding Authorized Users to a User account, the User warrants that it has obtained all necessary consents from Authorized Users and has informed them of their data protection rights as required by applicable data protection laws.

11. Security and Breach Notification

11.1 Security Measures

The Service Provider implements industry-standard security measures to protect Users' data. While the Service Provider strives to use commercially acceptable means to protect Users' data, the Service Provider cannot guarantee its absolute security.

11.2 Data Breach Notification

In the event of a data breach that affects Users' data, the Service Provider will notify you and relevant authorities as required by applicable laws.

11.3 Your Security Responsibilities

Users are responsible for maintaining the security of account credentials and for restricting access to their devices. The User shall notify the Service Provider immediately of any unauthorized access or security breaches.

12. Modifications

12.1 Service Changes and Updates

The Service Provider reserves the right to: (a) modify, update, or enhance Service features and functionality; (b) update AI models and algorithms; and (c) add, remove, or modify Service components. For material changes of the Service that substantially reduce core functionality, Users will receive at least 30 days' advance notice. Notwithstanding the above, emergency changes for security, legal, or technical reasons may be implemented immediately.

The User may terminate the subscription upon written notice if the User does not accept a material change of the Service. The User's continued use of the Service after the changes take effect constitutes acceptance of the modified Service.

12.2 Modifications of Term

The Service Provider reserves the right to modify these Terms at any time. For material changes of the Terms, Users will receive at least 30 days' advance notice.

The User may terminate the subscription upon written notice to the Service Provider if the User does not accept a material change of the Terms. The User's continued use of the Service after the changes take effect constitutes acceptance of the modified Terms.

13. Termination

13.1 Termination by the User and Automatic Renewal

In addition to any other termination rights set out herein, the User may terminate the User Licence with at least 30 days written notice prior to the end of each subscription term. If the User Licence is not terminated, the User License will automatically renew for the corresponding subscription term and with the corresponding notice period.

13.2 Termination or suspension by the Service Provider

The Service may be terminated or suspended by the Service Provider immediately and without prior notice in cases of emergency, security issues, or legal requirements where immediate action is considered as necessary.

The Service Provider may terminate the User License with at least 30 days notice, except in cases of breach of these Terms or the Use Restrictions where termination may be immediate. If termination or suspension occurs for reasons other than a Users' breach of these Terms or the Use Restrictions, the User is entitled to a pro-rated refund of any prepaid fees for the unused portion of the User License.

13.3 Effect of Termination

Upon termination of a User License, all rights to use the Service will cease. The User has 30 days to export: (a) any business data; and (b) reports and analyses generated by the User during the subscription term.

All provisions of these Terms that should reasonably survive termination will remain in effect.

14. Partners and Sub-contractors

14.1 Use of Partners and Sub-Contractors

The Service Provider may engage Partners and Sub-Contractors to provide certain components of the Service. The Service Provider remains fully responsible for the Service delivery and compliance with these Terms, regardless of the involvement of Partners and Sub-Contractors.

14.2 Data Processing by Partners and Sub-contractors

Partners and Sub-Contractors may process your and the Authorized Users' data solely for the purpose of providing their designated Service components. The Service Provider ensures that all Partners and Sub-Contractors that process data hereunder: (a) are bound by appropriate data protection obligations; (b) process data only as necessary for their specific Service function; and (c) comply with applicable data protection laws.

14.3 Service Provider Accountability

The User acknowledges that while Partners and Sub-Contractors may provide service components, the User's contractual relationship remains exclusively with the Service Provider. The Service Provider is accountable for the performance and compliance of all Partners and Sub-contractors in relation to the Service.

15. General Provisions

15.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of Sweden, without regard to its conflict of law provisions.

15.2 Dispute Resolution

Any disputes arising from these Terms shall be resolved through good faith negotiations. If negotiations fail, disputes shall be submitted to the competent courts of Sweden.

15.3 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.4 Assignment and Resale

The User may not assign, transfer, or sublicense these Terms or your rights under these Terms without the prior written consent of the Service Provider. The User may not resell, redistribute, or commercially exploit the Service. Any attempted assignment or transfer in violation of this section shall be void.

The Service Provider may assign this agreement, including User Licenses, to a third party without restriction.

15.5 Entire Agreement

These Terms, together with the Use Restrictions and the Privacy Policy, constitute the entire agreement between the User and the Service Provider regarding the Service and supersede all prior agreements and understandings.
